Malcolm Glazer revealed his investment in Manchester United in September 2003. Glazer had expanded his stake from 3.17 percent to roughly 15 percent by the end of 2003, which he nearly quadrupled in the year up to October 2004.
In May 2005, he acquired John Magnier and J. P. McManus’s 28.7 percent interest, raising his own to roughly 57 percent, considerably beyond the 30 percent barrier that would require him to launch a takeover effort.
A few days later, he gained control of 75% of the club’s shares, allowing him to delist the business from the stock exchange. Within a month, the Glazers had taken 98 percent ownership of the team through its Red Football parent company, forcing a squeeze-out of the remaining 2%. The club’s eventual acquisition price was almost £800 million.
The majority of the cash utilized by Glazer to acquire Manchester United came in the form of loans, the majority of which were secured against the club’s assets, resulting in annual interest payments of more than £60 million. The balance was made up of PIK loans (payment in kind loans), which were later sold to hedge firms.
Manchester United was not liable for the PIKs, which were held by Red Football Joint Venture and secured on that company’s Red Football shares (and thus the club). The annual interest rate on the PIKs was 14.25 percent. Despite this, the Glazers did not pay off any of the PIK debts during their first five years as club owners.
