Equity Bank Kenya Limited was consolidated in 2014 as a consequence of the corporate restructuring of Equity Group Holdings Limited. before November 2014, Equity Group Holdings Limited acted both as a licensed financial institution and a holding firm for its subsidiaries.

On 31 October 2014, Equity Bank stated its plan to include a new wholly-owned subsidiary, Equity Bank Kenya Limited, to which it would assign its Kenyan banking business, assets, and liabilities. The reason for the restructuring is that by switching Equity Group Holdings Limited into a non-trading holding company (as described under the Banking Act) that owns both banking and non-banking subsidiary corporations and renders strategic, brand, risk and talent supervision to its subsidiaries, the Group will be better situated to invest and to improve the existing and new businesses as part of its third stage of growth and transformation.

During a remarkable shareholder’s general meeting carried on 24 November 2014, it was proposed to affirm the proposed re-organization, therefore, leading to the formation of Equity Bank Kenya Limited.
